Terms & Conditions
Richard Coan Design
These Terms & Conditions apply to all services provided by Richard Coan Design, a sole trader operating in England and Wales. By commissioning services, you (“the Client”) agree to these Terms.
1. Services
Richard Coan Design provides professional graphic design services, including but not limited to:
- Branding and identity design
- Logo design
- Marketing materials (digital and print)
- Social media assets
- Custom illustrations
- Website design
- Copywriting (including prose, poetry and lyrics)
- Print coordination and production services (where agreed)
A detailed scope of work will be outlined in the written quote, invoice, or project brief. Any services not expressly included may incur additional charges.
2. Printing & Production
Where printing or production services are involved, responsibility is determined as follows:
2.1 Client-Managed Printing
Artwork is supplied according to print specifications provided by the Client. All files must be checked and approved by the printer prior to use. Richard Coan Design accepts no responsibility for printing errors, colour variations, or technical issues once files have been supplied. The Client must sign off a printer-generated proof before full production.
2.2 Designer-Managed Printing
Where Richard Coan Design manages the print process via third-party suppliers, any applicable mark-up will be included in the quoted price. The Client must approve final printer proofs before print production. Richard Coan Design is not responsible for errors arising after proof approval.
2.3 Print Assistance Only
For larger projects where the Client manages printing, Richard Coan Design may liaise with printers for an agreed assistance fee.
3. Payment Terms
- A 25% non-refundable deposit may be required to begin work, as stated in the quote.
- The remaining balance is due upon project completion and before final file delivery, unless otherwise agreed in writing.
- Ongoing clients may be offered 30-day payment terms.
- Interim billing may occur for extended projects or delays caused by the Client or unforeseen circumstances.
- Late payments may incur interest at 5% above the Bank of England base rate, calculated monthly.
- Technical assistance relating to file use or software support is charged at £50 per hour.
Accepted payment methods are outlined on the invoice.
4. Revisions
- Projects include up to three (3) rounds of revisions, unless stated otherwise.
- Additional revisions are charged at £50 per hour.
- Revision requests must be made within 7 business days of draft delivery.
- Changes requested after final approval will be billed separately.
5. Timelines & Delivery
Project timelines are estimates and depend on timely Client feedback and material provision. Delays by the Client may affect delivery dates.
Rush projects (typically within 72 hours) may incur a 20% additional fee.
Final deliverables are supplied via agreed digital methods (e.g. Google Drive, WeTransfer) in formats specified in the project brief (e.g. PDF, PNG, JPG, EPS).
Editable source files (e.g. .AI, layered .PSD) are not included unless specifically agreed in writing and may be purchased separately.
6. Ownership & Copyright
- Copyright remains with Richard Coan Design until full payment is received.
- Upon full payment, the Client receives a licence to use the work solely for the purposes outlined in the agreed scope.
- The Client may not resell, sublicense, or reuse the work outside the agreed scope without written permission.
- Drafts, rejected designs, and preliminary concepts remain the property of Richard Coan Design.
- Richard Coan Design may reuse elements from unused concepts.
- Richard Coan Design retains the right to display completed work in portfolios, websites, and promotional materials.
- Any poetry, written lyrics, or songs created by Richard Coan Design remain its copyright and may only be used as specified in the contract.
7. Cancellations & Refunds
- Deposits are non-refundable.
- If a project is cancelled mid-way, payment is required for all work completed to date.
- Projects inactive for 30 days due to Client non-communication may be archived or cancelled. Reactivation may incur a fee.
8. File Storage & Retrieval
Final deliverables are stored for 30–90 days after project completion. Retrieval of archived files may incur an administration fee. Long-term storage is not guaranteed.
9. Fonts, Stock & Third-Party Assets
Clients are responsible for ensuring appropriate licences are held for any fonts, images, or assets supplied by them. Richard Coan Design accepts no liability for licence breaches relating to Client-supplied assets.
All third-party materials used by Richard Coan Design are properly licensed.
10. Creative Direction
Richard Coan Design retains creative discretion and may refuse work deemed illegal, unethical, or offensive.
Significant changes to the agreed brief may require a revised quote.
11. Client Responsibilities
The Client agrees to provide clear instructions, timely feedback, and all required materials. Delays or lack of communication may result in timeline changes or additional costs.
12. Communication
All project communication will be conducted via email.
Typical response times are 24–48 business hours.
Meetings or calls must be scheduled in advance and take place during standard business hours (9am–5pm, Monday–Friday).
13. Limitation of Liability
Richard Coan Design is not liable for indirect, incidental, or consequential damages arising from the use of delivered work.
Total liability is limited to the fees paid for the relevant project. All services are provided “as is” without warranties.
14. Force Majeure
Richard Coan Design shall not be liable for delays or failure to perform due to circumstances beyond reasonable control, including illness, supplier failure, or technical outages.
15. Governing Law
These Terms & Conditions are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Updates to Terms
Richard Coan Design reserves the right to update these Terms at any time. Continued engagement constitutes acceptance of the revised Terms.
